Mitsui Grandioso Club Membership Regulation

Article 1. This Regulation
This Regulation sets out the membership services (hereinafter referred to the “Services”) and the terms and conditions for using the Services of the Mitsui Grandioso Club (hereinafter referred to as the “Grandioso Club”), a membership club organized and operated by the Mitsui Fudosan Residential Co., Ltd. (hereinafter referred to as the Company).

Article 2. Purpose of Activities, etc.
The purposes of the Services are as follows:
(1) To provide the members defined in the following Article 3 (hereinafter referred to as the “Member(s)) with information on the real estate, housing, etc. the Company handles and other ancillary information thereto via direct message (DM), email, or telephone call, etc.
(2) To solicit comments and opinions from the Members with the view to improving the Company’s product merchandizing and services.
2. In addition to the above, the Company shall introduce products and services handled by Mitsui Fudosan Group companies as stipulated in Article 11.

Article 3. Membership Qualifications
The Member is defined as a person who, upon consenting to the provisions of this Regulation, has applied for the membership in the Grandioso Club in accordance with the procedures as specified by the Company and whom the Company has approved as the Member. The Company shall be at liberty to refuse to accept the membership application if the applicant declines to fill out certain matters specified by the Company in applying for the membership in the Grandioso Club.
2. There is no admission fee or membership fee for the “Grandioso Club.”

Article 4. Secretariat Office
The office of the Grandioso Club Secretariat shall be located in the Company.

Article 5. Notice of Change in and Withdrawal from Membership
The Member, wishing to cause changes in the registration or to withdraw from the Grandioso Club membership, shall notify the Secretariat by telephone, mail, etc. as provided for in Article 13.

Article 6. Withdrawal from Membership
Upon receiving from the Member a notice of withdrawal from the membership, the Company shall take prompt procedures for withdrawal. The Company shall be entitled to commence withdrawal procedures without prior notice in the event the Member has fallen under either of the following:
(1) When the registered information is found to be false.
(2) When the Company’s mail or email is undeliverable and returned to the sender.
(3) When discommunication from the Company continues for a substantial period of time.
(4) Improper use of the information or services provided to the Member beyond personal use or for commercial purposes, etc.
(5) Any breach of the provisions in this Regulation.
(6) When, in the judgment of the Company, the Grandioso Club operation has been hampered.

Article 7. Change in this Regulation
The Company may cause changes in this Regulation from time to time. Any change in this Regulation shall be made available in the form of the revised Regulation on the Company’s home page concerning the Services at (http://www.mgc-salon.com) and take effect at the time of posting. The Members shall be responsible for reviewing the Regulations appropriately.

Article 8. Property Right
Property rights to the information and services such as texts (writing), images, animations, voices and sounds, etc. that are offered during the operation of the Grandioso Club and through the services hereunder shall be vested with the Company or the information provider and protected under relevant laws of copyrights, trademarks, designs, etc.

Article 9. Disclaimer
The Company shall not be held responsible for any damage arising to the Member in connection with the discontinuation or suspension of the Services.

Article 10. Discontinuance or Suspension, etc. of the Services
The Members shall take note that the Company may suspend or interrupt provision of the Services in whole or in part, without prior consent of the Members in the event of either of the following:
(1) Compelling circumstances in maintaining or constructing the facilities.
(2) The provision of the Services has been rendered impossible due to natural disasters such as earthquake, etc., or power outage, etc.
(3) When it is difficult to provide the Services due to reasons such as unauthorized access, etc., through the Internet.
(4) When, in the Company’s judgment, the provision of the Services has become difficult.
(5) Any other cases deemed necessary by the Company.

Article 11. Use Purposes of Personal Information
The Company shall be entitled to utilize the Member’s personal information for the following purposes:
(1) To engage in sales activities such as providing information and soliciting, etc. by means of mail, electronic mail, telephone calls, etc. as well as conducting researches to accomplish the purposes, etc. referred to in Article 2.
(2) To respond to the Member’s inquiries or requests.
(3) To introduce to the Member the living/housing/recreation-related products and services offered by companies in the Mitsui Fudosan Group, such as interior/household equipment, reform/maintenance work, house-relocation support, flower services (cut flowers, ornamental plants, gardening), commercial outlets/malls, hotels, resorts, etc.
* Mitsui Fudosan Group companies refer to Mitsui Fudosan Co., Ltd. and its consolidated subsidiaries listed in the company's annual securities report.
(4) To make public an intensive package of the Member’s personal information processed in a consolidated manner. However, this shall not include such information as identifiable to specific persons.
(5) To liaise with the Member on matters that the Company has reasons to communicate.
(6) To provide the personal information to third parties to the extent necessary in accomplishing the use purposes enumerated in the above (1) through (5).

Article 12. Provision of Personal Information to Third Parties
Personal information obtained shall be provided to third parties such as the Company’s subsidiaries and Mitsui Fudosan Group companies to the extent necessary to achieve the use purposes of personal information as stipulated in Article 11, in addition to the provision of personal information when required by laws and regulations.
2. The Company may commission partial management of the Member’s personal information to third parties upon executing in advance a confidentiality agreement with said parties during the course of operating the Grandioso Club. The Company may also provide part of the Member’s personal information to delivery and distribution agents, etc. to contract out the shipping and delivery functions.
In these instances, the Company shall implement proper supervision to ensure said contractors to abide by their confidentiality obligations.

Article 13. Management and Operation of Personal Information
The person responsible for managing the protection of Members' personal information is as follows:

2. The Company shall take proper security management measures and necessary corrective steps in order to prevent loss, leakage, vandalization, falsification, etc. of the Member’s personal information.

Article 14. Reception Desk of Correction/Use Suspension/ Disclosure and Suggestions on Personal Information
The Members are requested to contact the Secretariat at the location as below for any comments or requests regarding the correction, suspension of use, or disclosure of the Member’s personal information, or for any comments or requests regarding the Grandioso Club operation. Please understand that it may take some time for the Company to respond to the Members’ inquiry.

Article 15. Points to Note
When using the website for the Services, the Members shall agree to the contents of the "Precautions Regarding Use" of the website for the Services, which are listed separately.

Article 16. ID and Password
The Members shall be responsible for managing their individual IDs and passwords issued and approved by the Company, and the Company shall not be liable for any errors in their use or unauthorized use by a third party.
In addition, if the Members lose their ID or password, they may not be able to use all or part of the Services.
2. When an ID and password are used on a website related to the Services, the Company shall deem that all activities on the website related to the use of the ID and password are performed by the Members who were given the ID and registered the password.

Article 17. Cancellation of Membership
The persons who fall under the following shall not be permitted to register as the Members. In addition, the Company reserves the right to cancel the membership of any Member upon judging that there exists for said Member a fact that falls under the following items, even after the membership registration.
(1) Organized crime groups, enterprise affiliated thereto, corporate racketeers, or the like, or their members (hereinafter collectively referred to as "Anti-social Forces") or those who are at risk of becoming such persons.
(2) Employees, creditors, or shareholders (investors), etc. who are recognized as having substantially the same control as those in the preceding (1) are anti-social forces, or the like.
(3) The Member who shall interfere with other Member’s use of the Services hereunder.

Article 18. Compliance Matters
The Members shall comply with the following rules to ensure that they shall not engage in any of the following acts:
(1) Use of the Services for any purpose other than those described in Article 2;
(2) Disclosing one's own ID and password required to use the Services, or using another member's ID illegally;
(3) Any act that interferes with the operation of the Services; and
(4) Any other acts that violate or may violate laws and regulations.

Article 19. Good Faith Consultation
If a problem arises between a Member and the Company in relation to the Services, the Member and the Company shall discuss and resolve the problem in good faith.

Article 20. Governing Law
This Regulation and the Services shall be governed by and construed in accordance with the laws and regulations of Japan.

Article 21. Jurisdiction
Any and all disputes arising out of or in connection with this Regulation and the Services shall submit to the exclusive jurisdiction of the Tokyo District Court at the first instance.

Handling of personal Information

Obtaining personal information
1. The Company shall obtain the following personal information (hereinafter referred to as the "Customer Information") concerning persons who request information materials, provide personal information via an website for a property, visit a property, or conclude a sales contract (hereinafter referred to as the "Customers"), and use the information for the purposes and within the scope of use described in the following articles.
<As an example, the following information shall be obtained>
・Information provided by the Customers (name, address, telephone number, email address, date of birth, gender, occupation, and any other information provided by the Customers, including information provided during the real estate transaction after visiting a property).
・Web site browsing history.
2. If there is any change in the registered information, the Customers shall contact the respective help desk listed below under "Help desk for inquiries concerning personal information" to change the registered information. If the Customers fail to change the registered information, they may not be able to receive the service or suffer other disadvantages, for which the Company shall not be liable unless there is a reason attributable to the Company.

Use Purposes
The Company and its group companies (Mitsui Fudosan Co., Ltd. and its consolidated subsidiaries listed in the annual securities report, etc. of Mitsui Fudosan Co., Ltd.; the same shall apply hereinafter) shall use the Customer Information to the extent necessary to achieve the following purposes of use.
1. To provide products and services related to the Company business.
<As an example, the following use purposes are included>
・Sales activities by mail, email, telephone call, etc.
・Execution of contracts and transactions with customers regarding real estate.
・To provide Residential Customer Service after the handover of a property.
・Management and operation of real estate offered.
・Contacting the Customers by mail, email, telephone, etc., and responding to inquiries regarding transactions with customers and provision of services.

2. To introduce products and services related to clothing, food, housing, recreation, and work of the Customers handled by the Company and its group companies*1 and to provide various information and special benefits.
<As an example, the following use purposes are included>
・Information on various seminars, campaigns and events.*2
・Distribution of behavioral targeting advertising (an advertising method that changes the content of advertisements by analyzing acquired information such as browsing history and service usage history to estimate customer attributes and interests) by using an advertisement distribution provider.*3
・To provide special benefits such as discounts and other benefits obtained when using coupons and services,
*1, *2, and *3: This includes providing information based on the analysis of transaction history and other information obtained by the Company or its group companies to estimate the attributes and interests of the Customers. The above information distribution and provision shall be made by telephone, sealed postcards, etc., email newsletters, or direct mail.

3. To develop and improve products and services related to clothing, food, housing, recreation, and work of the Customers handled by the Company and its group companies, and to conduct marketing activities, surveys, and analysis such as market research to provide better products and services to the Customers conducted by the Company and its group companies.
<As an example, the following use purposes are included>
・Planning new business, developing new products, and improving existing products and services.
・Conducting surveys.
・Customer trend analysis.
・Verifying the effectiveness of sales promotion activities and formulating sales promotion plans.

4. To provide the Customer Information to third parties in order to achieve the above use purposes 1 through 3.

Obtaining Information Related to Personal Information
The Company shall obtain web browsing and usage history and its analysis results collected by cookies, advertising IDs (smartphone device identifiers), etc. (hereinafter referred to as "Cookies, etc.") from third-party data service providers, and use them for purposes such as advertising distribution after linking them to the Customers’ personal data.
In addition, the Company shall obtain web browsing and usage history collected by Cookies, etc. from the Company’s group companies and the results of their analysis, link them to the Customers’ personal data, and use such information to the extent necessary to achieve the use purposes described in the above 1. through 3. under "User Purposes.”

Providing the Customer Information to Third Parties
1. The Company may provide the Customer Information to third parties such as its group companies and joint ventures in the housing business to the extent necessary to achieve the use purposes described in the above 1. through 3. in addition to cases where such provision is required by laws and regulations.

2. The Customer Information to be provided shall be name, address, telephone number, and other items necessary to achieve each purpose of use, but shall be limited to the minimum necessary items.
<Examples of Personal Data to be Provided>
・Information registered when the Customers requested information materials, provided personal information via an website for a property, or visited a property handled by the Company.
・Items provided by the Customers at the time of real estate transactions (including the name of the property purchased, price, customer response history, contact information, etc. after the handover of the property).
・Various drawing information (design and construction drawings, pamphlet drawings, etc.) related to properties the Company has sold.
<Examples of third parties to whom personal data is provided>
・The Company’s group companies.
・Joint ventures in the housing business, business operators, sales outsourced companies (sales agents, intermediary companies, etc.), and business partners who receive customer referrals.
・Financial institutions and guaranty companies, judicial scriveners and land and house investigators, property management companies, and interior decorators in ancillary real estate transactions.
・Cooperating companies (construction companies, housing equipment companies, etc.) in Residential Customer Service after the handover of real estate.

3. When providing personal information to third parties, it shall be provided in writing, by mail, telephone, fax, email, electronic media, etc., and shall be delivered with due consideration for security management. When electronic data is provided, encryption and other necessary measures shall be taken to deliver the electronic data.

4. The Company shall stop providing personal information to third parties upon request from the individual in accordance with the provisions of the Act on the Protection of Personal Information.
